Can You Get a Super Jumbo Bank Statement Loan After a Business Sale?

Can You Get a Super Jumbo Bank Statement Loan After a Business Sale?

The Quick Read: Usually not on bank statements alone, because a sale ends the recurring business deposits that a bank statement file averages, and the sale proceeds count as a one-time asset rather than income. The realistic routes are a statement file built on pre-sale history when income still flows from the business or a new venture, an asset-based file that is reviewed on the liquid proceeds, or a DSCR loan when the purchase is a rental. Which one fits depends on timing, deal structure, and what the property is for.

  • Bank statements need an operating business with deposits to average. A closed sale breaks that.
  • Proceeds count as assets, not deposits. Only money that has reached your personal account counts.
  • The same dollars cannot qualify you and also cover reserves.
  • Above $4,000,000, every file is reviewed case by case before submission.
  • For a rental purchase, qualification can run on the property’s income instead of yours.

All figures below are typical ranges through select wholesale programs, subject to full underwriting. Nothing here is a commitment to lend.

Why a Sale Changes the Picture

A bank statement loan answers one question: how much does this borrower reliably take in? Across the wholesale network Lendmire works with, the lender totals 12 or 24 months of deposits, strips out transfers, loan proceeds, and one-time asset sales, then applies an expense ratio to business accounts. What remains, divided by the months reviewed, is qualifying income.

A business sale hits every step. The closing wire is a one-time asset sale, so it is screened out. If the company no longer exists, there is no recurring stream going forward. Underwriters also ask about continuity, because statements from a business that has since changed hands describe the past, not the future.

That does not make the sale proceeds worthless. It means they belong on the asset side of the file, not the income side. Federal rules treat income and assets as equally valid ways to show repayment ability. The CFPB’s Ability-to-Repay rule asks for a reasonable, good-faith determination, and the regulation text requires verifying whatever income or assets the lender relies on with third-party records. Lenders may rely on income, assets, or both.

Which Path Fits Your Situation?

The right product depends on what you have today, not what you earned before the sale.

Your situation Likely path Why
Still paid by the business (consulting, earn-out) Statements on pre-sale history, case by case Some income stream remains
Started a new venture Thin self-employment file or assets Short deposit history
No income, large liquid proceeds Asset allowance or assets-only File is reviewed on wealth
Buying a rental DSCR Property income drives the file

Most programs in the network treat these as separate lanes. A few lenders will stretch a statement file when a documented income source survives the sale. Others will not, and this is genuinely lender-specific.

When the Bank Statement Route Still Works

It works when you can show recurring deposits that still make sense going forward. Picture a founder who sold her company but signed a multi-year consulting agreement with the buyer, with payments landing in her personal account. The statements before the sale, plus that agreement, may support a file. A signed agreement alone is only a document. It is not seasoned deposit history, and underwriters weigh it that way.

Ownership matters too. Transfers from your own business into your personal account count in full on personal statements. If you were a minority owner or held shares through a holding entity, the structure changes what the lender can use.

Timing also matters. A sale closed just before application leaves statements showing a business that no longer exists. A sale months earlier, with new income already flowing, is a stronger story. Neither is automatic.

How Sale Proceeds Are Treated

Proceeds are an asset event. Here is how typical deposits and holdings sort out.

Item Counts as income? Counts as asset?
Sale wire in your personal account No Yes, once sourced
Funds still inside the selling entity No Generally no
Escrow holdback No Not until released
Seller note No A future receivable, not liquid
Earn-out payments received Depends on guidelines Once received

Large deposits get sourced. Expect to provide the purchase agreement or settlement statement, the wire record, and statements showing the funds landing in your own account. Lendmire’s position is that only money that has left the corporation and reached a personal account counts.

Other holdings get haircuts. In the asset paths, retirement accounts count at 70%, or 80% at age 59.5 and older. Business funds, gifts, cryptocurrency, unvested stock, and trusts other than a revocable living trust never count.

When Assets Are the Better Route

If your wealth is liquid and your income is thin, asset-based qualification is built for you. A recent business seller is one example of a borrower who fits that description.

Two asset paths exist through select wholesale programs:

  • Asset allowance divides liquid assets by 36 months (when it supplements income and debt-to-income is at or below 60%), 60 months (supplemental, debt-to-income above 60%), or 84 months (standalone, or any loan above $3,500,000). It applies to primary and second homes, to a maximum of 80% leverage.
  • Assets-only skips the debt-to-income test. U.S. liquid assets must equal the loan amount plus closing costs plus sixty months of any net loss on other residential property. Leverage, reserves, and pricing vary by lender and program; the final terms follow the full file review.

Nothing is liquidated. The lender runs a qualifying calculation and the assets stay yours. Assets-only and bank statement qualification are different products, so do not expect one file to behave like the other.

The Double-Counting Trap

The same dollars cannot do two jobs. Assets used for the down payment and closing costs cannot also be counted as depletion assets. Money counted to generate qualifying income cannot also satisfy reserves.

Consider a seller with a strong balance after tax. Put a large share toward the purchase, hold back a reserve cushion, and what remains is what the asset formula can divide. Reserves run 3 months to $500,000, 6 months to $1,500,000, and 9 months above, with more for additional financed properties up to 12 months. First-time investors carry 12. On cash-out files above the super-jumbo line, proceeds cannot satisfy reserves.

Tax matters here as a liquidity issue. Lenders see what is in your account, not gross sale price. Pay the tax bill before you plan, or the number you thought you had shrinks. Tax treatment varies; consult a qualified professional.

Deal Structures That Complicate Things

Not every sale pays out at closing. The structure decides what is countable today.

Structure Liquid today? Typical treatment
All-cash at closing Yes Asset path, fully sourced
Seller note No Future receivable
Earn-out Only when paid Case by case
Rollover equity No Generally not counted
Escrow holdback No Counts after release

If part of your payout is deferred, lenders look at what is in your hands now. Whether any credit is given for a seller note is guideline-specific, and the safe assumption is none.

What Changes at the Super-Jumbo Tier

Loans run from $300,000 to $30,000,000 through two wholesale programs: a portfolio non-QM program to $6,000,000, and a bank portfolio program that carries twelve-month-statement files to $30,000,000. That bank ladder begins above $4,000,000, overlaps the portfolio program to $6,000,000, and stands alone above it. It runs 65% to $5,000,000, 60% to $10,000,000, and 55% to $30,000,000.

Leverage on a primary residence purchase steps down with size: 90% to $1,000,000, 85% to $2,000,000, 80% to $3,000,000, and 75% at the top credit tier to $4,000,000. Above $4,000,000, everything is reviewed case by case before submission. Second homes and investment property take their own ladders, so read each figure from the occupancy’s own band rather than subtracting from the primary number.

Overlays tighten above $3,500,000 on a primary residence and $3,000,000 on a second home or investment property: a 700 credit floor, 0x30x24 housing history, 48 months seasoning on credit events, U.S. citizens and permanent residents only, and no rural property. Credit floors are 660 on the portfolio program, 680 on the bank program, and 700 above the super-jumbo line. Debt-to-income goes to 50%.

Cash-out has its own limits: proceeds are unlimited at or below 60% LTV, with a $1,500,000 cash-in-hand cap above 60% on the portfolio program. The bank program publishes no cap. On a primary residence, cash-out tops out at 80% only in the lowest balance bands, and it falls as the loan grows. Terms vary by lender guidelines, property type, leverage, credit profile, and full file review.

The Rental Exception: DSCR

If the purchase is an investment property, the personal-income problem largely disappears. DSCR loans are designed for non-owner-occupied investment properties. Because they are business-purpose investor loans, they are reviewed differently from a standard owner-occupied mortgage. A DSCR file qualifies primarily on property-level rental income covering the payment, subject to lender guidelines. Credit, assets, and the property are still reviewed.

For a seller with large cash and little documented income, that is often the cleanest route. Programs below 1.00 coverage are available through select lenders in the network, but leverage and terms adjust. Read Lendmire’s complete DSCR loans guide for how the ratio works. Remember the other side: on a super-jumbo investment property, leverage is lower. On an investment purchase between $3,500,000 and $4,000,000, the best cell on the bank portfolio program is 60%. Between $4,000,000 and $5,000,000 the best cell is 65% on the portfolio program with super-jumbo overlays, and every file above $4,000,000 is reviewed case by case before submission.

When This Is the Wrong Product

Be honest about the flip points. If you can buy with cash and still hold healthy reserves, a loan may add cost and paperwork for little benefit. If your proceeds are mostly deferred, none of these paths gives you credit yet, and waiting may beat forcing a file. If your income comes from a new venture with a few months of history, a thin statement file may produce less than an asset calculation would. And if your liquid assets sit mostly in business accounts or crypto, they may not count at all. Compare paths before you commit.

Documentation Checklist

  • Purchase agreement and final settlement statement
  • Wire confirmation and statements showing funds in your personal account
  • 12 or 24 months of consecutive statements (the bank program uses 12)
  • Any consulting, employment, or earn-out agreement with the buyer
  • Account statements for assets you want counted
  • Proof of ownership percentage, if business statements are used

Keep records organized, and avoid moving money between accounts or closing old ones while a file is open. Lendmire’s piece How to Use Cash After a Sale on a Super Jumbo Bank Statement Loan covers how to deploy proceeds.

Key Terms Defined

Super jumbo: A loan large enough that stricter overlays, lower leverage, and manual review apply.

Bank statement loan: A non-QM mortgage that is reviewed around deposits after an expense ratio instead of traditional personal-income documentation.

Asset allowance: Liquid assets divided over a set number of months to create qualifying income.

Assets-only: A path with no debt-to-income test that requires liquidity equal to the loan plus costs.

Expense ratio: The share of business deposits treated as costs, commonly 20%, 40%, or 50% depending on the business.

Seasoning: How long funds or credit events must sit before a lender counts or forgives them.

Frequently Asked Questions

Can I use pre-sale bank statements if I sold my business a few months ago?

Sometimes. It works when a documented income source survives the sale, such as a consulting agreement or new venture, and the lender accepts continuity. Some lenders will decline because the statements describe a business that no longer exists. It is lender-specific.

Do sale proceeds count as income on a bank statement loan?

No. Lenders screen out one-time asset sales and large non-recurring deposits. The proceeds are better used on the asset side, through asset allowance or assets-only.

Does money held in escrow or inside my old company count?

Generally not. Funds must reach your personal account first. Escrow holdbacks and seller notes are future receivables until paid.

Can I qualify if I owned less than 25% of the business?

Business statements typically require at least 25% ownership to use business income. With less, an asset path or personal statements may fit better.

Is a DSCR loan easier after a sale?

For a rental purchase, often yes, because qualification runs primarily on the property’s income, subject to lender guidelines. It is still reviewed on credit, assets, and the property.
