How Super Jumbo Bank Statement Loan Rules Work for a Founder Before an Exit

How Super Jumbo Bank Statement Loan Rules Work for a Founder Before an Exit

The Quick Read: A founder who has not yet sold can qualify on documented bank deposits, not on company valuation or paper equity. Through select wholesale programs, subject to full underwriting, the lender reads 12 or 24 months of statements, removes non-income deposits, applies an expense ratio, and divides by the months reviewed. Illiquid private equity does not count until a sale turns it into cash.

  • Qualifying income comes from deposits you can document, not from a valuation.
  • “Super jumbo” describes loan size. “Bank statement” describes how income is documented.
  • Transfers from your own business into your personal account count in full.
  • Above $4,000,000, every file is reviewed case by case before submission.
  • Before the sale you qualify on deposits. After it, you can qualify on liquid proceeds.

Key Terms Defined

Super jumbo: a loan large enough to sit above the standard jumbo band, with tighter overlays. Through select wholesale programs, those overlays start above $3,500,000 on a primary residence.

Bank statement loan: a mortgage that is reviewed on documented income under the applicable program, subject to lender guidelines. Deposits stand in for tax-return income.

Expense ratio: the share of business deposits treated as operating cost, not income.

Statement window: the 12 or 24 consecutive months of statements the lender reads.

Asset allowance: a method that turns liquid assets into monthly income by dividing them over a set number of months.

Why Does a Founder Need This Lane?

A founder is the classic case of high net worth and thin documented income. Your company may be worth a fortune on paper while your personal income is a modest salary. Traditional personal-income documentation often understates cash flow, too, because of write-offs and reinvestment.

A bank statement loan reads what actually landed in your accounts. That fits a founder who pays himself in lumps, in distributions, or through transfers from the business. It does not fit a founder whose only wealth is private stock.

Lendmire is a mortgage broker that shops several wholesale programs for this kind of file, and it is not the lender. Consumer mortgage lending is available in 16 states: AL, CA, CO, FL, GA, IN, MI, MT, NM, NC, OH, PA, TN, TX, VA and WA. The mechanics below are general and national.

How Does Underwriting Read a Founder’s Statements?

Underwriting follows a fixed sequence. Here is how it works step by step.

1. Pick the income lane. Your pay arrives as salary, as distributions or transfers, or as equity. Only the first two are income before an exit.

2. Choose personal or business statements. Business statements require at least 25% ownership of the account’s business. Personal statements are read closer to raw deposits.

3. Pick the window. Most programs offer 12 or 24 consecutive months. Across our network, the bank portfolio program uses 12. Statements must be consecutive, and a transaction history never substitutes.

4. Scrub the deposits. Transfers between your own accounts, loan proceeds, refunds and one-off items come out.

5. Apply the expense ratio. On business statements, a fixed ratio of 20% (service business, no employees), 40% (1-5 employees) or 50% (6+ employees or any product business) applies. An accountant-provided ratio is another option. A profit-and-loss method, capped at 80%, is a third.

6. Divide by months reviewed. The result is qualifying income.

7. Test the rest. That income is tested against debts, credit and reserves. Debt-to-income runs up to 50%.

Transfers from your own business into a personal account count at 100%. That is why many founders run the statement file on the personal account they pay themselves into.

Alt-doc does not mean no standards. Federal rules still require a lender to make a good-faith repayment determination, even outside the qualified mortgage box. The CFPB explains that a qualified mortgage requires verified income or assets and debts. A non-QM loan sits outside that definition but still has to be underwritten to repay. CFS Review’s analysis of supervisory guidance adds that a non-QM lender must verify the income or assets it relies on with reliable third-party records.

What Counts as a Deposit, and What Doesn’t?

A venture round, bridge note or SAFE wire is usually company money, not your personal earned income. Underwriters generally remove it. The same goes for a deposit that is a shareholder loan or an unexplained transfer from a source that is not your own business.

Clean files share three habits:

  • Business and personal accounts stay separate.
  • Large deposits come with a short written explanation.
  • Statements stay consecutive, with no missing months.

Picture a founder whose company sends a regular transfer into a personal checking account every month. Those transfers count in full. Now picture the same founder who also moves money between two personal accounts. Those transfers are scrubbed out and add nothing.

What Does “Super Jumbo” Change?

Size changes leverage, credit and reserves. It does not change what a bank statement is. Documentation and size are separate variables.

Through select wholesale programs, subject to full underwriting, the structure looks like this. A portfolio non-QM program carries files to $6,000,000. A bank portfolio program carries twelve-month-statement files up to $30,000,000 on its own ladder: 65% to $5,000,000, 60% to $10,000,000 and 55% to $30,000,000. That ladder begins above $4,000,000 and overlaps the portfolio program to $6,000,000.

Here is how primary-residence purchase leverage steps down:

Loan size Purchase leverage Credit for this leverage
$300K–$1M 90% 680+
$1M–$1.5M 85% 700+
$2M–$2.5M 80% 720+
$3M–$3.5M 75% 720+
$3.5M–$4M 75% 760+
$4M–$5M, on review 65% 680+

Those are ceilings for a primary residence. Second homes and investment property take their own ladders, so read each from its own table rather than subtracting from these. Above $4,000,000, every figure is case by case before submission.

Credit floors are 660 on the portfolio program, 680 on the bank portfolio program and 700 above the super-jumbo line. A lower score takes a lower leverage cell in the same band. Reserves run 3 months to $500,000, 6 months to $1,500,000 and 9 months above, and first-time investors need 12.

Above $3,500,000 on a primary residence, and $3,000,000 on a second home or investment property, extra overlays apply. They include a 0x30x24 housing history, 48-month seasoning on any credit event, U.S. citizens and permanent residents only, no rural property, and cash-out proceeds that cannot satisfy reserves.

How Does Timing Around the Exit Change the File?

Closing before the sale means you qualify on deposits and salary only. Closing after means you can qualify on liquid proceeds. The two paths use different documents, and the moment of liquidity is when you may want to switch.

Private, illiquid equity generally does not count as income or as a qualifying asset before it is sold. A tender offer or secondary sale converts it. Non-QM lenders typically use asset depletion for this kind of borrower, and one who moved tender proceeds into a brokerage account is reviewed on that account, not a pay stub.

The asset allowance divides liquid assets by 36, 60 or 84 months. Through select programs:

  • 36 months applies as supplemental income when debt-to-income before the asset income is at or below 60%.
  • 60 months applies as supplemental income when that pre-asset ratio is above 60%.
  • 84 months applies when assets are the standalone source, or on any loan above $3,500,000.

The 60% test only picks the divisor. The final ratio, with asset income counted, must still fit the 50% ceiling. This path is for primary and second homes only, at 80% maximum.

Assets-only is the cleaner option. It needs no debt-to-income test, but U.S. liquid assets must equal the loan amount plus closing costs, plus sixty months of any net loss on other residential property. Retirement accounts count at 70%, or 80% at 59.5 and older. Business funds, gifts, most trusts, unvested stock and cryptocurrency never count.

Where Do the Rules Break?

Most founder files stumble in a few predictable places.

A pay change mid-window. If your pay drops or changes form as the deal nears, the statements show it. A 24-month average can look stronger than the last six months. Choosing 12 months may help or hurt depending on which direction pay moved.

Earnouts, escrows and holdbacks. Part of a sale price may be deferred, escrowed or contingent on later targets. Montague Law’s founder M&A guide notes that earnouts are heavily litigated and contingent payments may never arrive. Money that is not yet yours is not liquid, so it does not support the asset path.

Stock consideration and lockups. Acquirer stock with a lockup is not usable cash. Timing and documentation gaps can block an approval even when the net worth is real.

A short company history. A new company is the weakest case.

A founder paid W-2 by his own company. Underwriters generally treat this as self-employed income, because the employer is related to the borrower.

Equity-based wealth with no deposits. If your only asset is private stock, no statement path works until a sale converts it.

Bank Statement or DSCR?

If your goal is a rental, you may not need your personal income at all. A DSCR loan is reviewed primarily on property-level rental income covering the payment, subject to lender guidelines. That can suit a founder with messy pre-exit income. Lendmire’s comparison of a super jumbo bank statement loan against DSCR for a founder buying a rental lays out the tradeoff. The complete DSCR loans guide covers the investor side in full.

Business-purpose investor loans are reviewed differently from a standard owner-occupied mortgage, which is part of why the two lanes feel so different.

A Founder’s Timeline

Stage What to do What to avoid
Before a letter of intent Start the file; keep accounts clean Moving money between accounts carelessly
In diligence Document large deposits in writing New debt or big purchases
Signing to close Hold reserves; keep statements consecutive Counting escrow or earnout money
After close Consider the asset path on settled proceeds Rushing large financial moves

Common Misconceptions

“Bank statement means no verification.” That is not accurate. Income is documented from consecutive statements, and the repayment test still applies.

“My company valuation counts.” It does not. Private equity generally does not count before a sale.

“The 50% expense ratio is a law.” It is not. Each program sets its own, and the ratios above are the ones in our network.

“Super jumbo means a different document type.” It does not. Size and documentation are separate.

“A P&L replaces statements.” On a statement loan, a P&L typically supports the expense ratio. A P&L-only loan is a separate product.

Frequently Asked Questions

Can I qualify before the sale?

Yes, on documented deposits and salary. Through select wholesale programs, subject to full underwriting, the lender averages eligible deposits after an expense ratio. Your company’s valuation plays no part.

Do earnouts or escrowed proceeds count?

Generally not until they are paid and sitting in your account. Deferred or contingent money is not liquid, so it does not support the asset path.

How much history do I need?

Business statements need at least 25% ownership and 12 or 24 consecutive months. A young company is the weakest case. Lendmire’s network reviews each file individually.

Can I use business statements?

Yes, with at least 25% ownership. An expense ratio of 20%, 40% or 50%, an accountant-provided ratio, or a P&L method capped at 80% applies. Personal statements skip that step.

Is this a no-doc loan?

No. It is reviewed on documented income under the applicable program, subject to lender guidelines. Lenders still verify income or assets and debts.
