How Super Jumbo DSCR Guaranty Thresholds and Cap Table Verification Work

How Super Jumbo DSCR Guaranty Thresholds and Cap Table Verification Work

The Quick Read: A guaranty threshold is the ownership share at which a member of the borrowing LLC must sign a personal guaranty. Lenders set it as a credit-policy choice, not a legal rule, and the cap table is checked against it before the deal moves on. Super jumbo size does not change the threshold logic. It tightens leverage, credit, appraisal and document review around it.

  • The LLC is the borrower. A real person signs the guaranty, and credit, reserves and experience attach to that person.
  • Programs differ on the trigger. Some use an individual ownership share, some use a combined share across signers, and some look at who has management authority.
  • Loan size changes the credit tier, the leverage cell, the appraisal count and the depth of document review. It does not hand you a different guaranty rule.
  • The operating agreement is the cap table the lender reads. What you disclose must match what the document says.
  • Qualification runs primarily on property-level rental income covering the payment, subject to lender guidelines. The guarantor file still gets full review.

DSCR loans are designed for non-owner-occupied investment properties. Because they are business-purpose investor loans, they are reviewed differently from a standard owner-occupied mortgage. For the full program picture, see Lendmire’s complete DSCR loans guide.

Key Terms Defined

Guaranty. A personal promise by an individual to repay the loan if the LLC does not.

Recourse. The lender’s right to go after the guarantor’s assets, not only the property.

Joint and several. Each guarantor can be held responsible for the whole balance, not just a share.

Cap table. The list of who owns what percentage of the borrowing entity, taken from the operating agreement.

Beneficial owner. The real person who owns or controls an entity, even through other entities.

Trigger. The test, usually an ownership percentage, that decides who has to sign.

Look-through. Tracing ownership past a holding company to the individuals at the top.

Does an LLC Remove the Guaranty?

No. An LLC is the borrower, and a person still signs a separate personal guaranty. The entity can limit exposure to unrelated property-level claims. It does not shield anyone from the loan itself.

An investor forms an LLC, assumes the loan is non-recourse, and learns otherwise at the document stage. True non-recourse is the exception. It usually ties to a specific setup, such as a self-directed retirement account, and it is a lender-by-lender accommodation.

The documents signed at closing show the split. The note and the mortgage or deed of trust are signed by an authorized member or manager in the LLC’s name. The guaranty is signed by the individual. The guaranty’s own language governs its scope, so read it before signing, especially on a seven-figure balance.

How Do Guaranty Thresholds Work?

The threshold is a lender convention. Different capital sources in the wholesale network set it differently, and most programs use one of three tests: an ownership share, a combined share across the signers, or management authority.

No regulator sets the number. Large banks follow federal customer due diligence rules that look through entities to anyone owning 25% or more, and they collect one control person as well, per FinCEN’s CDD Rule FAQs. That rule binds covered financial institutions. Non-bank DSCR programs borrow the same look-through logic without being bound by that rule in the same way. Treat any single number as a program term, not an industry standard, and get the trigger for your specific program in writing.

Trigger type What it tests Who signs
Individual ownership Each member’s percentage Anyone at or above the line
Aggregate ownership Combined share of the signers Enough owners to reach a majority
Management authority Who can bind the entity Managing member or manager
Every-owner rule Membership alone All members

Ownership share is the more common trigger than a management title. An aggregate test works differently: the guarantors who sign must together hold a combined majority of the entity. Under that test, a 55% holder can carry the file alone, while five 20% holders may all need to sign.

Passive holders below the line usually do not sign, but lenders still want them identified. A few lenders reserve the right to require a guaranty from a smaller holder.

What Changes at Super Jumbo Size?

Size changes everything around the guaranty, not the guaranty rule itself. No regulator defines “super jumbo.” It is an industry label for loans well above standard non-QM size tiers.

Through the network’s portfolio investor program, loan amounts run from $150,000 to $10,000,000, where Lendmire’s standard DSCR program stops at $3,000,000. Every figure below is a ceiling through select wholesale programs, subject to underwriting.

Loan band Purchase Rate-term Cash-out
$150K–$1M 80% 80% 75%
$1M–$1.5M 75% 75% 70%
$1.5M–$2M 75% 75% 60%
$2M–$3M 75% 75% 60%
$3M–$4M 65% 65% —
$4M–$6M 60% (on review) 60% (on review) —
$6M–$10M 60% (on review) 60% (on review) —

These are loan amounts, not purchase prices. Compute the price times the leverage first, then read the band for that loan.

Credit works as a leverage requirement. The top cell in the first band needs 660 or better. The $1M–$1.5M cell needs 700 or better, and the $1.5M–$3M cells need 720 or better. The program floor is 660 on loans to $3,000,000 and 700 above $3,000,000, where the super jumbo overlay also wants 0x30x24 housing history, 48-month event seasoning, citizens and permanent residents only, no rural property, and no more than ten acres on a non-rural property. A lower score takes a lower leverage cell within the same band.

Above $4,000,000, every request is reviewed case by case before submission, purchase or rate-and-term only.

The guarantor-side requirements also scale in practice:

  • Two appraisals above $2,000,000. This addresses valuation and rent-estimate risk, not liquidity.
  • Reserves of 6 months of PITIA on the subject property (ITIA on interest-only), 12 for first-time investors. The month count does not climb with the loan, but the documentation gets deeper at the top.
  • Cash-out never satisfies reserves above $3,000,000.
  • Retirement balances are typically discounted, and seasoning and sourcing get more scrutiny.

Interest-only runs 120 months on 30- and 40-year terms, to 75% maximum, with coverage of 0.75 or better, qualified on ITIA. Coverage of 1.00 earns full leverage. Coverage from 0.75 to 0.99 is a real path through select programs to $2,000,000, but LTV and terms adjust, subject to underwriting. No-ratio files reach $2,000,000 through select wholesale programs with a seven-year clean housing history and 0x30x24, subject to underwriting. Short-term-rental files also stop at $2,000,000, and municipal permission must be documented for the specific property.

How Does Cap Table Verification Work, Step by Step?

Verification is a reconciliation. The lender compares what you disclosed to what the documents prove, and flags anything that does not match.

1. Disclose the ownership. The application lists each member and percentage, including any individuals who sit behind a member entity.

2. Pull the formation record. Articles of organization, the EIN letter, and a certificate of good standing where required. A foreign registration is added if the LLC was formed in a different state than the property.

3. Read the operating agreement. It should show each member’s percentage in an ownership table, who has authority to borrow and pledge real property, and whether extra member approvals are needed. A missing percentage table is a common defect, as are missing signatures and stale dates.

4. Look through to the individuals. Where a member is itself a trust or a single holding vehicle, the lender traces up to the people who own and control it. The network’s program accepts entity vesting for the borrower, but it does not accept layered entities. A borrower held directly by individuals fits cleanly. A borrower sitting under a chain of holding companies needs to be restructured before applying.

5. Identify the guarantor set. Apply the program’s trigger to the reconciled table. Each guarantor gets an identity check and a credit pull.

6. Reconcile and flag. Names must match across the application, title and insurance. Any gap between disclosed and documented ownership stops the file until one side is corrected.

Document What the lender checks What gets flagged
Operating agreement Percentages, authority, signatures Missing table, unsigned, outdated
Articles and EIN Entity exists, name matches Name variations
Good standing Entity is active Stale or missing certificate
IDs and credit authorizations Natural persons behind the entity Unidentified members
Reserves evidence Liquidity on the guarantor Double-counted or unsourced funds

Entity paperwork is a frequent source of friction on otherwise clean files. Order the certificate of good standing early, since some states are slow to issue it.

There is no federal ownership filing for the lender to lean on, either. FinCEN’s beneficial ownership reporting has been lifted for U.S.-formed entities, per the Federal Register, and a Morrison Foerster alert reports a final rule making that exemption permanent. So the operating agreement and the lender’s own diligence are what establish ownership. Foreign-formed entities registered in the U.S. are a separate case.

DSCR vs. conventional financing

There are two common ways to finance an investment property, and they qualify you differently — here’s how investors weigh them.

DSCR loan

Why investors choose it

  • Qualifies on the property’s rental income — no personal tax returns, W-2s, or pay stubs needed to document income.
  • No personal debt-to-income ceiling to clear, so existing mortgages and obligations don’t cap your borrowing the same way.
  • Can be closed in an LLC, keeping the property inside a business entity.
  • Built for scaling — not held to the limit on number of financed properties that conventional financing applies.
  • Underwriting centers on the deal: generally qualifies when the rent covers the payment, a 1.00x coverage ratio being a common baseline (confirmed in underwriting).
  • Designed specifically for investment property, including long-term and, where the program allows, short-term rentals.
Conventional loan

Where it’s strong

  • Often the lowest ongoing financing cost for a buyer who fully qualifies on personal income — a fit for a first property or a cost-first purchase.

Trade-offs for investors

  • Requires full personal income documentation and must fit within a debt-to-income limit — salary, existing debts, and other mortgages all count.
  • Typically held in your personal name rather than a business entity.
  • Caps how many financed properties you can carry, which can become a ceiling as a portfolio grows.
  • Evaluates you as a borrower as much as the property, which usually means more paperwork.

How investors usually choose: a first or single property often optimizes for the lowest financing cost; portfolio builders often optimize for leverage, vesting in an LLC, and scaling past conventional caps. The right answer depends on your goals, the property, and current guidelines — both paths run through select lenders in Lendmire’s wholesale network, with eligibility and terms confirmed in underwriting.

Worked Cap Table Examples

Run these against a hypothetical program with a 25% individual trigger. Your program’s line may differ.

Structure Who signs What gets reviewed
50/50 two-member LLC Both, or one under a single-guarantor rule Both credit files, or the stronger partner’s
One 70% holder, three passive 10% holders The 70% holder Passive members identified, not guaranteeing
Five equal 20% members Possibly none by percentage Some lenders still require a managing-member guaranty
LLC held 80% by one individual’s revocable trust The individual behind the trust Trustee and grantor identified, then credit and identity checks

The even split. With five equal members under a line set just above 20%, nobody crosses it. Some programs then require at least one managing-member guaranty anyway. Ask before assuming the file has no signer.

The weak partner. Picture two guarantors, one at strong credit and one marginal. Some programs blend the scores or take the lower one. A partner above the trigger with thin credit can reprice the file or sink it. Where the program allows, arranging ownership so stronger-credit members carry the signature is a legitimate planning step. Retitling shares only to qualify is not. It carries control, tax and economic side effects, and the lender will see the change.

Trusts. Land trusts and revocable trusts are accepted lender by lender, not program-wide. Under banking look-through logic, a trustee is treated as the beneficial owner when a trust holds 25% or more of an entity. That is an analogy, not a rule for DSCR files.

To-be-formed LLCs. Underwriting on credit, property and rent can start while entity papers are in process. The articles, EIN and operating agreement generally must be final before closing.

What Stops a File

Most stalls trace to one of five things:

  • Disclosed ownership does not match the operating agreement.
  • The agreement is unsigned, outdated, or never amended after a new member joined.
  • The agreement lacks authority language to borrow and pledge real property.
  • Entity names differ across the application, title and insurance.
  • A member was left off the application and surfaces in the documents.

Each is a documentation gap, not a credit problem, and each is preventable.

Planning the Cap Table Before Capital Moves

Settle ownership before new money comes in. Bringing in an investor or issuing units after the file is submitted can change who must sign, and crossing a lender’s line triggers credit review and personal exposure for that person. The lender will want the final operating agreement, not a draft.

At seven figures, the guaranty reaches the guarantor’s personal balance sheet. Read the joint-and-several language. In a multi-member LLC, each signer may be liable for the full balance, not a proportional share.

Liquidity needs the same care. The same dollars cannot count as reserves for two guarantors, or across two files. Source and season the funds, and keep retirement balances and cash-out proceeds out of the assumption.

A pre-application checklist:

  • Written trigger from the specific program.
  • Current, signed operating agreement with an ownership table.
  • Formation records, EIN letter, and good standing certificate.
  • IDs and credit authorizations for every likely guarantor.
  • Reserves evidence for the guarantor, sourced and seasoned.
  • Matching entity names across title, insurance and application.

Frequently Asked Questions

Does a bigger loan mean more owners have to sign?

Not by itself. Across the network, size changes leverage, credit tier, appraisals and review depth. The trigger that decides who signs is a program term, so confirm it for the specific program rather than assuming a jump at super jumbo size.

What if no member crosses the threshold?

Some programs then require a managing-member guaranty regardless of percentage. Others use an aggregate test, requiring signers who together hold a combined majority. Ask which test applies before structuring the split.

Can passive investors stay off the loan?

Usually they do not sign, but they are typically still disclosed and identified. A few lenders reserve the right to ask a smaller holder to guarantee. Do not plan on a silent partner staying invisible.

Does a weak-credit partner affect the whole file?

Yes, if that partner is a required guarantor. Some programs blend scores or use the lower one. Above $3,000,000 the super jumbo overlay wants a 700 floor, and the leverage cell a file reaches depends on the credit score, subject to underwriting.

Do I need to file anything with FinCEN to prove ownership?

No. U.S.-formed entities are exempt from beneficial ownership reporting, so the lender relies on your operating agreement and its own diligence.
