How to Replace a Seller Note or Wrap With an Airbnb DSCR Loan

How to Replace a Seller Note or Wrap With an Airbnb DSCR Loan

The Quick Read: Replacing a seller note or wrap with an Airbnb DSCR loan means funding a new first-lien loan, paying off the old paper at closing, and qualifying the property on its short-term rental income. There is no special product for this. It is a standard investor refinance with a payoff stack on the settlement statement.

  • The new loan pays the note holder first, and a wrap means paying the underlying lender too.
  • Short-term rental files typically allow up to 70% LTV on a refinance or cash-out, and up to 75% on a purchase, subject to lender guidelines.
  • STR programs typically expect a 640+ credit score, about 12 months of hosting history, and a 1.00 coverage floor on refinances.
  • The appraisal sets the loan size, so appraised value against the payoff decides whether the deal works.
  • Clearing 1.00 coverage is not positive cash flow. Repairs, vacancy, utilities and management sit outside the ratio.

What a Seller Note and a Wrap Actually Are

A seller note is a loan the seller carries for the buyer. The buyer pays the seller, and the seller has no other lender in the picture. A wrap is different. It is a junior mortgage the seller extends to the buyer while the seller’s own underlying mortgage stays in place. The buyer pays the seller, and the seller keeps paying the underlying lender.

That second layer is what makes a wrap harder to unwind. The payoff has two lines, not one. Many of these notes also carry balloon dates or short terms, which is why the exit is usually a refinance.

A land contract, or contract for deed, is a third variation. The buyer may not hold legal title until the seller delivers the deed. In that case the old contract is paid off, not modified, and the seller has to cooperate.

Why Investors Replace the Paper

The balloon date is the main driver. A seller note that comes due on the seller’s calendar forces a refinance whether the market cooperates or not.

Wraps add a second reason. The underlying loan almost always has a due-on-sale clause. The federal statute behind it, 12 U.S.C. § 1701j-3, defines the clause as a provision letting a lender call the loan if the property is transferred without written consent, and it overrides contrary state law. Enforcement is governed by the loan contract except for listed exemptions. A wrap sale to an unrelated buyer is not among them. A refinance pays both layers off, which removes that exposure. Whether any of this applies to a business-purpose purchase is a legal question, so confirm it with counsel.

The trade-off is real. A seller note can be cheaper than a DSCR loan, which is a reason to keep it as long as the balloon allows. The new loan is fully amortizing and includes taxes and insurance. An old interest-only note payment is a poor comparison.

How the Replacement Closes, Step by Step

The mechanics are the same for a simple note and a wrap. The wrap just has more lines to pay.

1. Read the existing paper. Pull the note, the mortgage or deed of trust, the maturity date, any prepayment premium, and the underlying loan if there is a wrap. Request a written payoff statement from every holder.

2. Understand the payoff statement. It is the holder’s figure to retire the debt on a specific date. It differs from the statement balance, and per-diem interest accrues after the good-through date.

3. Confirm a clean first-lien path. The new lender needs the ownership history and a clean first-lien position. If title is still with the seller, the deed has to be delivered first.

4. Classify the refinance. If no cash comes back after payoff and closing costs, the file is usually treated as payoff-only. If cash comes back, it is cash-out. Cash-out carries the lower leverage cap and a seasoning expectation. Across the wholesale network, about 6 months of seasoning is the common expectation on cash-out, and the clock typically starts at the recorded deed.

5. Document the STR income. This is the heart of the Airbnb angle. See the next section.

6. Run the coverage ratio. Eligible rent divided by full PITIA: principal, interest, taxes, insurance and association dues. On STR refinances, 1.00 is the typical floor.

7. Order the appraisal. The new lender’s appraised value sets the loan size, not the borrower’s own estimate of value.

8. Close through title. Title or escrow orders the payoffs, the new lender takes first position, old liens are released, and any remainder goes to the borrower. The new loan starts its own prepayment clock.

Six things decide the outcome: appraised value against the payoff, the STR income documentation, the new fully amortizing payment against that income, seasoning and how the property was acquired, title and lien position, and how close the balloon date is.

How Underwriting Treats the Airbnb Income

Long-term rental files use a lease or an appraiser’s market rent. Short-term files support income differently. On most files in the network, a refinance expects about 12 months of hosting history, shown through platform payouts, a property-management statement, or bank statements with matching deposits. An appraiser’s STR analysis can also support income, particularly where history is thin.

A market-data report can support the income picture, but it does not replace the value appraisal. The appraisal still sets value. Lenders may also apply a haircut to short-term income before the ratio is run, so the same house can pass on one income source and fail on another.

Short-term rental rules can vary by city, county, HOA, and property type, so investors should confirm local rules before relying on projected rental income. A permit gap can limit what a lender will count.

Payoff-Only or Cash-Out: Which Limit Binds?

Two tests apply, and the loan must clear both. One is equity. STR refinance and cash-out typically top out around 70% LTV on short-term rental collateral, against 75% for standard rentals on cash-out. The other is rental coverage. A bigger payoff against a modest appraisal can break the equity test even when the coverage is strong. A strong coverage ratio cannot fix a thin equity position.

Picture an investor with a wrap balance near the top of the appraised value. The ratio might clear 1.00 comfortably, but the payoff exceeds what 70% LTV allows. The investor either brings cash, renegotiates the payoff, or waits for value to improve. A larger down payment on a purchase lowers the monthly payment and can lift coverage, but it never erases leverage caps, credit floors, reserve rules or property eligibility. Every figure here varies by lender and program — guidelines, property type, leverage, and credit profile all apply.

Reserves vary by lender, leverage, loan size and transaction type, commonly around 6 months of PITIA. Documenting them early prevents a late scramble.

Where the General Rule Breaks

Delayed financing usually does not fit. Seller financing means financing was used on the purchase, so the cash-purchase exception does not generally apply. DSCR lenders write their own seasoning policy.

A recent seller-financed purchase. The newest acquisition date can set the pace. Seasoning is lender policy, not a federal rule, and it varies across the network.

A new or newly converted STR. With no hosting history, income has to come from an appraiser’s analysis or projection, which can be discounted. A refinance on a vacant property is the hardest version.

A balloon due soon. Start early. Run an extension request in parallel if the calendar is tight.

An uncooperative or unpaid-underlying seller. A wrap payoff needs a clear figure from the underlying lender. If the seller has missed payments, the payoff can grow and the file stalls.

Entity vesting. Refinancing into an LLC is possible when the loan is structured for entity-vested title, subject to lender program eligibility.

Seller note kept as a second lien. Some programs allow a subordinate lien, but terms vary and capped seller portions are common. Treat it as a lender-by-lender question.

Ineligible property types. Manufactured homes, log homes and barndominiums fall outside these DSCR programs.

DSCR vs. conventional financing

There are two common ways to finance an investment property, and they qualify you differently — here’s how investors weigh them.

DSCR loan

Why investors choose it

  • Qualifies on the property’s rental income — no personal tax returns, W-2s, or pay stubs needed to document income.
  • No personal debt-to-income ceiling to clear, so existing mortgages and obligations don’t cap your borrowing the same way.
  • Can be closed in an LLC, keeping the property inside a business entity.
  • Built for scaling — not held to the limit on number of financed properties that conventional financing applies.
  • Underwriting centers on the deal: generally qualifies when the rent covers the payment, a 1.00x coverage ratio being a common baseline (confirmed in underwriting).
  • Designed specifically for investment property, including long-term and, where the program allows, short-term rentals.
Conventional loan

Where it’s strong

  • Often the lowest ongoing financing cost for a buyer who fully qualifies on personal income — a fit for a first property or a cost-first purchase.

Trade-offs for investors

  • Requires full personal income documentation and must fit within a debt-to-income limit — salary, existing debts, and other mortgages all count.
  • Typically held in your personal name rather than a business entity.
  • Caps how many financed properties you can carry, which can become a ceiling as a portfolio grows.
  • Evaluates you as a borrower as much as the property, which usually means more paperwork.

How investors usually choose: a first or single property often optimizes for the lowest financing cost; portfolio builders often optimize for leverage, vesting in an LLC, and scaling past conventional caps. The right answer depends on your goals, the property, and current guidelines — both paths run through select lenders in Lendmire’s wholesale network, with eligibility and terms confirmed in underwriting.

Key Terms Defined

Wrap: A junior mortgage a seller extends to a buyer while the seller’s own loan stays in place.

Payoff statement: The holder’s written figure to retire a debt on a specific date.

Balloon: A large lump sum due at the end of a short loan term.

Due-on-sale clause: A loan provision letting the lender call the debt when the property transfers without consent.

Seasoning: The minimum ownership period a lender expects before cash-out.

PITIA: Principal, interest, taxes, insurance and association dues, the payment side of the coverage ratio.

Documents to Gather

  • The note, mortgage or deed of trust, and any wrap agreement
  • Payoff statements from every holder, including the underlying lender
  • Proof of payment history, since seller notes rarely show on credit
  • Title and lien information, plus the recorded deed
  • Twelve months of STR statements or deposit records
  • Entity documents if vesting in an LLC
  • Insurance quotes that match the STR use
  • Reserves documentation

When Not to Replace the Note

Keep the paper if the balloon is far off, the seller note is cheaper than new financing, and the property cannot yet show income. Replacing makes sense when the balloon is near, equity supports the payoff, and the income file is clean. Costs matter too: closing costs again, plus any prepayment charge on the paper being retired.

Coverage below 1.00 is available through select lenders in the network, with leverage and terms adjusted. It is a separate path from the 1.00 floor on standard STR programs. Final terms depend on lender guidelines, property type, leverage, and the borrower’s complete credit picture.

Tax treatment varies; consult a qualified professional.

Frequently Asked Questions

Is there a DSCR product built for paying off a seller note?

No. It is a standard investor refinance. A new first-lien loan pays the note holder, the lien is released, and any remainder goes to the borrower. The structure is the same whether the property is a long-term or short-term rental.

Does a wrap protect me from the underlying lender’s due-on-sale clause?

No. The federal statute makes the clause enforceable under the loan contract, and a sale to an unrelated buyer is not among the listed exemptions. Paying off both layers in a refinance removes the exposure.

Can I use Airbnb income if the property is new to hosting?

Sometimes. Most STR programs expect about 12 months of hosting history. Without it, income may rest on an appraiser’s STR analysis, which can be discounted. Eligibility depends on the lender, the property and local rules.

What leverage applies to an Airbnb refinance?

Short-term rental refinance and cash-out typically run up to 70% LTV on STR collateral, subject to lender guidelines. Purchases can reach 75%. A 640+ score is typical.

Does clearing 1.00 mean the property cash flows?

No. The ratio compares rent to PITIA only. Repairs, vacancy, management, utilities, furnishing and capital expenses sit outside it.
