How to Document a Super Jumbo DSCR Loan as a Founder After a Company Sale

How to Document a Super Jumbo DSCR Loan as a Founder After a Company Sale

The Quick Read: A super jumbo DSCR loan is reviewed primarily on property-level rental income covering the payment, subject to lender guidelines, so your file documents the money and the property rather than a paycheck you no longer have. Four proof pillars carry the file, and each one needs a paper trail.

  • The sale-proceeds trail: sale agreement, closing or funds-flow statement, and the wire that landed.
  • Liquid reserves: 6 months of PITIA on the subject property (12 for first-time investors), sourced and seasoned.
  • Entity papers: formation documents, operating agreement, EIN, and a guarantor with clean credit.
  • Property evidence: an appraisal with a rent analysis, and two appraisals above $2,000,000.

Selling a company turns a founder’s finances upside down. For years the income came from a salary or distributions. After the exit, the income stops and a large pile of cash appears. A conventional lender sees “no income.” A DSCR lender sees a borrower with a lot of liquidity and a rental property that has to pay for itself.

Short-term rental figures are estimates only and vary significantly by season, property type, management approach, and local short-term-rental rules — confirm local regulations before relying on them. Qualifying income for short-term rentals varies by program — some use appraisal market rent, others use documented STR history or projections — and is confirmed in underwriting. Not a Loan Estimate, approval, or commitment to lend. Program availability and eligibility are subject to lender guidelines, credit approval, property review, and underwriting.

This guide walks through exactly how to build that file, in order. Lendmire is a mortgage broker that arranges business-purpose investment financing through select lenders in its wholesale network, across 41 markets including Washington, D.C. For the full program picture, see the complete DSCR loans guide.

Key Terms Defined

DSCR (debt service coverage ratio): the property’s monthly rent divided by its full monthly obligation. Some lenders use net operating income over debt service instead, so ask how a given lender calculates it.

PITIA: principal, interest, taxes, insurance, and association dues. This is the full payment the rent is measured against. On interest-only loans, lenders use ITIA, which drops the principal.

Super jumbo: a loan balance above the standard program ceiling. In Lendmire’s network, the standard DSCR program stops at $3,000,000, and the super jumbo ladder carries qualified investors up to $10,000,000.

Reserves: liquid assets left over after closing, measured in months of payments.

Seasoning: the time money has sat in an account, which helps show where it came from and that it is really yours.

Source of funds: the document trail connecting a deposit back to its origin, here the company sale.

Holdback and earn-out: parts of a sale price paid later or only if conditions are met. They are not cash in your account yet.

Why Does the Sale Change What You Document?

The sale shifts your story from income to assets. On a DSCR loan, the property’s rent is the income that gets tested, so your missing paycheck is not the obstacle. Your documentation burden moves to proving the cash is real, sourced, and available.

That is not the same as skipping paperwork. A DSCR file is fully underwritten on credit, assets, reserves, property, title, and entity. Only the personal income test is absent. The phrase “no income docs” misleads founders into expecting a light file. At super jumbo balances, expect the opposite.

Here is how the three common paths compare for someone in your position.

Factor DSCR Bank statement Asset-based
What gets tested Property rent vs. payment Recurring deposits Assets converted to income
Fits a founder with no pay Yes Only with recurring deposits Yes, owner-occupied style
Sale proceeds role Down payment, reserves Stripped from deposit average The qualifying asset pool
Best for Rental purchase or refinance Consulting or earn-out income Personal-residence loans

Because DSCR loans are designed for non-owner-occupied investment properties and are business-purpose loans, they are reviewed differently from a standard owner-occupied mortgage. That is why the property’s rent, not your post-exit income, does the heavy lifting.

How Underwriting Treats the Sale Proceeds, Step by Step

Underwriters care about where the money came from, where it sits now, and how much of it is truly usable. The steps below walk through that chain in order, along with the other checks that surround it.

Step 1: Confirm the loan is business purpose

You are buying or refinancing a rental. You sign a business-purpose attestation. If you do a cash-out refinance, the proceeds should go to documented business use, not personal spending. If you might live in the property, the loan can lose its business-purpose treatment, so keep the occupancy story clean.

Step 2: Establish the rent

The appraisal carries the rent evidence. On a single-unit property the appraiser typically uses Fannie Mae’s Form 1007 rent schedule, and on a 2-4 unit property Form 1025, which includes the rent analysis. Those are form names only. The agency’s qualifying rules do not govern a DSCR file.

Short-term rentals have no lease comps. On a purchase, the appraisal’s short-term-rent analysis supports income, counted at 80% of gross. On a refinance, twelve months of operating history does the job. Short-term rental files require coverage of 1.00 or higher, run to $2,000,000, and are for experienced investors. Municipal permission to operate must be documented for the specific property. Short-term rental rules can vary by city, county, HOA, and property type, so confirm local rules before relying on projected rental income.

Step 3: Treat proceeds as assets, not income

The wire arrives as one large deposit. Underwriters do not average a one-time sale into recurring income. The proceeds matter as down payment, closing funds, and reserves. That is exactly why a founder with no current pay can still qualify on the property.

Step 4: Source and season the funds

Expect the underwriter to trace the wire back to the exit. Assemble the following:

  • The purchase and sale agreement, or the signed closing statement for the company sale.
  • The funds-flow memo showing the gross price, fees, taxes withheld, and the net wired to you.
  • The wire confirmation and the statement page where it landed.
  • Every page of each statement afterward, showing the money moving from the landing account to the account you will use.

Large deposits are reviewed carefully partly because lenders run anti-money-laundering checks. A clean, continuous chain answers that question before anyone asks it.

Step 5: Handle the exit-specific pieces

Not everything in the purchase price is usable cash.

  • Earn-outs, escrow holdbacks, and stock consideration are generally not counted until they sit in an account as liquid funds.
  • Taxes owed on the gain can reduce what an underwriter treats as usable. Lenders may net known liabilities out of your assets.
  • Business-held funds are often excluded from your personal asset pool. Funds in a retirement account are treated differently by program.

Step 6: Entity and vesting

DSCR loans commonly close in an LLC, subject to underwriting, with entity vesting welcome and no layered entities. Document the formation papers, operating agreement, and EIN, and show the guarantor’s credit and liquidity. The business-purpose exemption in Regulation Z, section 1026.3 is the legal reason these loans sit outside consumer-mortgage rules, and the same section separately exempts credit extended to someone other than a natural person. The primary purpose is decided transaction by transaction, so a property type alone never settles it.

What Changes at Super Jumbo Balances?

Leverage steps down as the loan grows, and scrutiny steps up. Across our wholesale network, the ceilings below apply at DSCR of 1.00 or higher, through select programs and subject to underwriting. These are loan amounts, not purchase prices, so multiply price by leverage first, then read the band.

Loan amount Purchase / rate-term Cash-out
$150K-$1M 80% 75%
$1M-$1.5M 75% 70%
$1.5M-$2M 75% 60%
$2M-$3M 75% 60%
$3M-$4M 65% —
$4M-$6M 60%, on review —
$6M-$10M 60%, on review —

Credit scores work band by band. The program floor is 660 on loans to $3,000,000 and 700 above $3,000,000. The top leverage in the $1M-$1.5M band needs 700 or better, and the top cells from $1.5M to $3M need 720 or better. Above $3,000,000, the 700 floor comes with 0x30x24 mortgage history, 48-month seasoning after any credit event, citizens and permanent residents only, and no rural property (and no more than ten acres on a non-rural one). A lower score takes a lower leverage cell in the same band.

Above $4,000,000, every request is reviewed case by case before submission. It is purchase or rate-and-term only. Above $2,000,000, expect two appraisals.

Reserves at this size

Reserves run 6 months of PITIA on the subject property (ITIA if interest-only), or 12 months for first-time investors. No extra reserves are required for your other financed properties, and you can have up to 20 financed properties. Cash-out proceeds never satisfy reserves, so the reserves must come from other liquid assets. For a founder, that usually means a slice of the sale proceeds left untouched.

Interest-only runway

Many founders ask about preserving cash after an exit. Interest-only periods run 120 months on 30- and 40-year terms, up to 75% leverage, with coverage of 0.75 or better, qualified on ITIA. Final terms depend on lender guidelines, property type, leverage, and the borrower’s complete credit picture.

The Letter of Explanation for a Sale-Proceeds Deposit

A short, factual letter heads off the follow-up questions. Keep it to the facts, and attach the documents instead of arguing. A workable outline:

1. What was sold: the company name, the date, and your ownership percentage.

2. The gross-to-net bridge: gross price, less taxes, fees, escrow holdbacks, and debt payoffs, equals the net wired to you.

3. The path of the money: the landing account, any transfers to brokerage or bank accounts, and the account you will use for the purchase.

4. What is still pending: earn-out or holdback amounts, and when each is due.

5. The attachments: the agreement, funds-flow memo, wire confirmation, and statements.

If proceeds were split across a trust, a holding company, and personal accounts, show each hop. A gap between the selling entity and the borrowing entity is the most common thing underwriters ask about.

DSCR vs. conventional financing

There are two common ways to finance an investment property, and they qualify you differently — here’s how investors weigh them.

DSCR loan

Why investors choose it

  • Qualifies on the property’s rental income — no personal tax returns, W-2s, or pay stubs needed to document income.
  • No personal debt-to-income ceiling to clear, so existing mortgages and obligations don’t cap your borrowing the same way.
  • Can be closed in an LLC, keeping the property inside a business entity.
  • Built for scaling — not held to the limit on number of financed properties that conventional financing applies.
  • Underwriting centers on the deal: generally qualifies when the rent covers the payment, a 1.00x coverage ratio being a common baseline (confirmed in underwriting).
  • Designed specifically for investment property, including long-term and, where the program allows, short-term rentals.
Conventional loan

Where it’s strong

  • Often the lowest ongoing financing cost for a buyer who fully qualifies on personal income — a fit for a first property or a cost-first purchase.

Trade-offs for investors

  • Requires full personal income documentation and must fit within a debt-to-income limit — salary, existing debts, and other mortgages all count.
  • Typically held in your personal name rather than a business entity.
  • Caps how many financed properties you can carry, which can become a ceiling as a portfolio grows.
  • Evaluates you as a borrower as much as the property, which usually means more paperwork.

How investors usually choose: a first or single property often optimizes for the lowest financing cost; portfolio builders often optimize for leverage, vesting in an LLC, and scaling past conventional caps. The right answer depends on your goals, the property, and current guidelines — both paths run through select lenders in Lendmire’s wholesale network, with eligibility and terms confirmed in underwriting.

Where Files Break

Most stalled founder files fail on paperwork consistency, not on strength. These are the usual culprits and the fixes.

  • Missing statement pages. Give every page, including blank ones.
  • Names that do not match. The vesting name should match across the application, title, insurance, and bank statements.
  • Money moved mid-file. Paying a tax bill or parking cash in a brokerage account is fine, but document each move so the trail stays unbroken.
  • Counting holdbacks as cash. Plan reserves around money that is actually in the account.
  • Using cash-out for reserves. It will not work. Set aside other liquid assets.
  • Unsourced wires. An unsourced deposit is simply excluded from usable assets.

A practical sequence: freeze large movements once the sale closes, source every dollar, let funds season in one clean account, then submit. Decide the split between down payment and reserves before you apply, because the same dollars cannot do both.

Edge Cases Worth Knowing

All-cash purchase, then refinance. A founder who buys with exit cash and then refinances may use delayed-financing treatment. Each lender writes its own version, so ask before you buy.

Recurring post-exit pay. A consulting agreement or earn-out paid as ongoing deposits can open a bank-statement path. The deposits must be recurring and documentable.

Coverage below 1.00. Select programs reach coverage from 0.75 to 0.99 up to $2,000,000 at reduced leverage; LTV and terms adjust, subject to underwriting. No-ratio files also reach $2,000,000 through a handful of lenders in the network, requiring a seven-year clean housing history and 0x30x24, subject to underwriting.

Condos and special collateral. Non-warrantable condos run to 75% and $1,500,000. Condotels run to 75% on a purchase and 65% on a refinance, up to $1,500,000, with $250,000 cash-in-hand.

What the Decision Looks Like in Practice

Picture a founder who exits with a large net wire and wants a luxury rental. The loan lands in the $2M-$3M band. The founder reads the ladder: 75% on a purchase, credit at 720 or better for that top cell, two appraisals, and 6 months of ITIA reserves held back. The rent must cover the full obligation, ideally at 1.00 or better. If it covers at, say, 0.9, a select program may still apply at reduced leverage, subject to underwriting.

Next the founder sorts the proceeds: down payment, reserves, a tax set-aside, and anything still held in escrow. Then the paper chain goes together, with the entity documents last. The result is a file where every figure ties to a document.

Tax treatment varies; consult a qualified professional.

Frequently Asked Questions

Do I need traditional personal-income documentation for a super jumbo DSCR loan?

Generally not for personal income, because the loan is reviewed primarily on property-level rental income covering the payment, subject to lender guidelines. You still document credit, assets, reserves, the property, and the entity.

Does the sale count as income?

No. Proceeds are assets, used for down payment, closing funds, and reserves. Bank-statement programs typically strip one-time asset sales out of the deposit average.

What about earn-out payments and holdbacks?

They generally do not count until the cash is in your account. Once paid, they are sourced like any other deposit, using the agreement and the payment record.

Can cash-out proceeds count as my reserves?

No. Reserves must come from other liquid assets, and cash-out never satisfies them. Plan to leave part of the sale proceeds untouched.

Does the loan have to close in an LLC?

No, but entity vesting is welcome, with no layered entities, subject to underwriting. You would document the entity and sign a personal guarantee as a program requires.
